These Terms of Service (“Terms“) constitute a legally binding agreement between you (“you” or “User“) and VALUELINK TECHNOLOGIES PRIVATE LIMITED (“VALUELINK“, “Company“, “we“, “us“, or “our“), a company incorporated under the Companies Act, 2013, having its registered office at Workflo Ranka Junction, Property No. 224, 3rd Floor, Ranka Junction – 80/3, Vijinapura Village, Old Madras Road, K R Puram Hobli, Bengaluru, Karnataka, India – 560016. They govern your access to and use of the website https://www.heuriq.ai and the Heuriq platform and related services (together, the “Services“).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
1. Eligibility
You represent that you are at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and “you” refers to that organisation.
2. The Services
The website provides information about Heuriq and allows you to request access to our platform. Access to and use of the Heuriq platform itself may be subject to a separate written agreement, subscription, or order form between you and the Company. We may modify, suspend, or discontinue any part of the Services at any time without liability.
3. Acceptable use
You agree not to, and not to permit any third party to:
- Use the Services for any unlawful, fraudulent, or unauthorised purpose;
- Violate any applicable law, regulation, or third-party right;
- Upload or transmit any malware, or interfere with or disrupt the integrity or performance of the Services;
- Attempt to gain unauthorised access to the Services or related systems or networks;
- Scrape, harvest, or collect data from the Services using automated means without our prior written consent; or
- Infringe or misappropriate our or any third party’s intellectual property rights.
4. Intellectual property
The Services, including all content, text, graphics, logos, trademarks, software, and the “Heuriq” name and brand, are owned by or licensed to the Company and are protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the website for your internal, lawful purposes. No other rights are granted.
5. Information you submit
You are responsible for the accuracy of any information you submit through our forms. You represent that you have the right to provide such information and that it does not violate any third-party rights. Our handling of your personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

To the extent any liability cannot be excluded, the Company’s total aggregate liability arising out of or relating to the Services shall not exceed INR 10,000 (Indian Rupees Ten Thousand).
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or your misuse of the Services.
10. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles.
Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator appointed by the Company. The seat and venue of arbitration shall be Bengaluru, Karnataka, India, and the language of the arbitration shall be English. The arbitral award shall be final and binding on the parties.
Subject to the arbitration provisions above, the courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction over any matters arising out of or relating to these Terms.
11. Changes to these Terms
We may revise these Terms from time to time. The “Last updated” date above indicates when these Terms were last revised. Your continued use of the Services after any change constitutes your acceptance of the revised Terms.
12. Termination
We may suspend or terminate your access to the Services at any time, with or without cause or notice. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive.
13. General
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not be a waiver of that right or provision. These Terms, together with the Privacy Policy and any separate written agreement for the platform, constitute the entire agreement between you and the Company regarding the Services.
